Last Updated: September 2026

Welcome to oneillite.xyz (the "Website"), located at oneillite.xyz (the "Site") and operated by Oneillite ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Oneillite governing your access to and use of the Website, software-as-a-service platform, applications, content, products, services, and functionality offered through the Site (collectively, the "Services"). By accessing, browsing, registering for, or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, each of which is incorporated herein by reference. If you do not agree to all of these Terms, you must immediately cease all use of the Services and uninstall any associated applications.

This Agreement applies to all visitors, registered users, subscribers, customers, and others who access or use the Services in any manner. Certain Services may be subject to additional terms, conditions, policies, or supplemental agreements, including but not limited to subscription agreements, enterprise licensing terms, service-level agreements, and acceptable use policies, which are incorporated by reference and shall control in the event of a conflict with these Terms solely with respect to the specific Services addressed therein. You represent and warrant that you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater, and that you possess the legal right and capacity to enter into this binding Agreement. If you are using the Services on behalf of an entity, organization, or business, you represent and warrant that you have the authority to bind that entity to these Terms.

1. Acceptance of Terms

Your affirmative act of accessing, registering for, or using the Services—including clicking "I Agree," creating an account, submitting information, downloading materials, or subscribing to a paid plan—constitutes your electronic signature and unconditional acceptance of these Terms and all incorporated policies. You understand and agree that these Terms may be modified, amended, or updated by Oneillite from time to time in accordance with Section 11 below, and that your continued use of the Services following any such modifications constitutes your binding acceptance of the revised Terms. We strongly recommend that you print or save a copy of these Terms for your records.

If you do not agree to these Terms or any future modifications, you must immediately discontinue use of the Services and terminate your account in accordance with Section 10. Access to certain features or content may require you to provide accurate, current, and complete information and to comply with additional eligibility requirements. We reserve the right, in our sole discretion, to deny access to the Services to any person or entity at any time and for any reason, including for violation of these Terms.

These Terms are intended to be enforceable to the fullest extent permitted by applicable law, including but not limited to the Uniform Commercial Code (UCC) Article 2 as adopted by the states, the Federal Trade Commission Act § 5, 15 U.S.C. § 45 (FTC Act), the Restore Online Shoppers' Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA), and, where applicable, the Uniform Computer Information Transactions Act (UCITA) as adopted in Maryland, Virginia, and Louisiana. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

2. Use of Service

Oneillite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business or personal purposes, subject to these Terms and any applicable subscription or licensing agreement. Unless otherwise expressly authorized in writing by Oneillite, you may not reproduce, duplicate, copy, sell, resell, lease, license, sublicense, distribute, display, perform, modify, create derivative works from, reverse engineer, decompile, disassemble, or otherwise exploit any portion of the Services. The Services are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

To access certain features, you may be required to register for an account, choose a password, and provide accurate and complete account information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Oneillite immediately of any unauthorized use of your account or any other breach of security. Oneillite will not be liable for any loss or damage arising from your failure to comply with this security obligation.

The Services may include integrations, links, or access to third-party websites, applications, services, or content ("Third-Party Services"). We do not control, endorse, or assume responsibility for Third-Party Services, and your use of such services is governed by the terms and policies of the respective third parties. We reserve the right to modify, suspend, or discontinue, temporarily or permanently, any portion of the Services with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. User Obligations

You agree to use the Services only for lawful purposes and in compliance with all applicable federal, state, local, and international laws, regulations, and ordinances. You shall not use the Services in any manner that: (a) violates or infringes the rights of others, including intellectual property, privacy, publicity, or contractual rights; (b) is fraudulent, deceptive, defamatory, obscene, harassing, threatening, abusive, hateful, or discriminatory; (c) introduces, transmits, or distributes viruses, malware, ransomware, worms, Trojan horses, or other harmful or destructive code; (d) interferes with or disrupts the integrity, security, or performance of the Services or the networks or systems underlying them; (e) attempts to gain unauthorized access to the Services, accounts, computer systems, or networks; (f) engages in scraping, data mining, harvesting, spidering, or unauthorized automated collection of data; or (g) violates ROSCA, the FTC Act, or any other consumer protection law.

You are solely responsible for all content, data, information, materials, and submissions that you upload, post, transmit, store, or otherwise make available through the Services ("User Content"). You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions to use and authorize Oneillite to use your User Content as contemplated by these Terms and the Privacy Policy. You retain all ownership rights in your User Content; however, by submitting User Content, you grant Oneillite a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content solely for the purpose of providing, maintaining, improving, and securing the Services.

You further agree not to: (i) benchmark or conduct performance or vulnerability testing of the Services without our prior written consent; (ii) remove, alter, or obscure any proprietary notices or labels; (iii) circumvent or attempt to circumvent any usage limits, access controls, or security measures; (iv) use the Services to send unsolicited commercial communications in violation of applicable law; or (v) use the Services to process protected health information in violation of the Health Insurance Portability and Accountability Act (HIPAA) or to collect information from children under thirteen (13) in violation of the Children's Online Privacy Protection Act, 15 U.S.C. §§ 6501-6506 (COPPA) and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments).

4. Intellectual Property Rights

All content, materials, features, and functionality available on or through the Services—including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, algorithms, designs, user interfaces, documentation, and the selection and arrangement thereof—are owned by Oneillite, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Nothing in these Terms shall be construed as granting you any right, title, or interest in or to any intellectual property owned by Oneillite or its licensors, except for the limited license expressly set forth in Section 2.

oneillite.xyz, the oneillite.xyz logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Oneillite or its affiliates or licensors. You may not use such marks without the prior written permission of Oneillite. All other names, logos, product and service names, designs, and slogans appearing on the Services are the trademarks of their respective owners. Any feedback, suggestions, ideas, or other information you provide to Oneillite regarding the Services ("Feedback") shall be deemed non-confidential and non-proprietary, and Oneillite shall be free to use, disclose, reproduce, license, distribute, and exploit such Feedback without restriction or compensation to you.

You agree not to challenge, contest, or impair the validity or enforceability of Oneillite's intellectual property rights, and you acknowledge that any unauthorized use of the Services or Oneillite's intellectual property may cause irreparable harm for which monetary damages would be inadequate. Accordingly, Oneillite shall be entitled to seek equitable relief, including injunction and specific performance, in addition to all other remedies available at law or in equity. In the event you believe that any content on the Services infringes your intellectual property rights, please contact us at [email protected] with a detailed notice containing the information required by the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512(c)(3).

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Oneillite, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT Oneillite HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF Oneillite AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, SHALL IN NO EVENT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO Oneillite FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100.00). THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF YOUR REMEDIES UNDER THESE TERMS FAIL OF THEIR ESSENTIAL PURPOSE.

Some jurisdictions do not permit the exclusion or limitation of liability for certain categories of damages, so the above limitations may not apply to you to the extent prohibited by law. In such jurisdictions, Oneillite's liability shall be limited to the maximum extent permitted by applicable law. The limitations set forth in this Section shall survive termination or expiration of these Terms and apply regardless of the form of action or theory of liability asserted, including breach of contract, tort, strict liability, negligence, misrepresentation, or any other legal or equitable theory.

6. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Oneillite DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. Oneillite DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, VIRUS-FREE, OR THAT DEFECTS WILL BE CORRECTED.

While Oneillite endeavors to provide accurate and up-to-date information through the Services, we do not warrant the accuracy, completeness, reliability, timeliness, or usefulness of any content, materials, or information provided through the Services. Any reliance you place on such information is strictly at your own risk. The Services are not intended to provide legal, financial, accounting, tax, medical, or other professional advice, and nothing on the Services should be construed as a substitute for professional advice applicable to your specific circumstances.

Oneillite makes no representations or warranties regarding the compliance of the Services with laws applicable to your specific industry, jurisdiction, or use case, including but not limited to the Gramm-Leach-Bliley Act, 15 U.S.C. §§ 6801-6809 (GLBA) for financial institutions, HIPAA, COPPA, the California Consumer Privacy Act as amended by the CPRA (Cal. Civ. Code § 1798.100 et seq.), the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), the Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), the Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), the Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and other state comprehensive privacy laws. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.

7. Indemnification

You agree to defend, indemnify, and hold harmless Oneillite, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and costs) arising out of or relating to: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms or any applicable law, regulation, or third-party right; (d) your negligence, willful misconduct, or fraud; or (e) your use of or reliance on any Third-Party Services. This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Services.

Oneillite reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such event, you agree to cooperate with Oneillite's defense of such claim. You agree not to settle any claim without the prior written consent of Oneillite. This indemnity is in addition to, and not in lieu of, any other indemnities or remedies set forth in a written agreement between you and Oneillite.

You acknowledge and agree that the obligations set forth in this Section are integral to the consideration for your access to and use of the Services and that Oneillite would not grant such access without these indemnification obligations. If you are a California resident, you waive California Civil Code § 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

8. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Oneillite shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods (CISG). The application of the Uniform Computer Information Transactions Act (UCITA) is excluded to the extent permitted by applicable law, except where such Act is mandatorily applicable.

Subject to Section 9 below, any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal or state courts located in the State of Delaware, United States. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. Oneillite may, in its sole discretion, seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration or other dispute resolution proceedings.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Services or these Terms must be filed within one (1) year after such claim or cause of action accrued, or it shall be forever barred. This limitation period may not apply where prohibited by applicable law. If you access the Services from outside the United States, you do so at your own initiative and are responsible for compliance with local laws.

9. Dispute Resolution

ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, INCLUDING THE FORMATION, INTERPRETATION, BREACH, TERMINATION, OR VALIDITY THEREOF, SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES AND MEDIATION PROCEDURES, EXCEPT AS OTHERWISE PROVIDED HEREIN. THE ARBITRATION SHALL BE CONDUCTED IN THE ENGLISH LANGUAGE IN THE STATE OF DELAWARE, UNLESS OTHERWISE AGREED BY THE PARTIES. THE ARBITRATOR SHALL HAVE AUTHORITY TO AWARD THE SAME DAMAGES AND RELIEF AS A COURT AND TO DECIDE ANY DISPUTES RELATING TO THE SCOPE, INTERPRETATION, ENFORCEABILITY, OR ARBITRABILITY OF THIS SECTION.

YOU AND Oneillite AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND Oneillite AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. If this specific provision is found to be unenforceable, then the entirety of this Section 9 shall be null and void, and the parties agree that the exclusive jurisdiction and venue provisions of Section 8 shall apply.

Notwithstanding the foregoing, Oneillite may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent irreparable harm pending arbitration. Either party may also file a claim in small claims court so long as the claim qualifies for small claims jurisdiction and remains in such court. You may opt out of this arbitration agreement by sending a written notice to One Liberty Plaza, 165 Broadway, New York, NY 10006, United States within thirty (30) days of first accepting these Terms, stating your name, address, and intent to opt out.

10. Termination

These Terms shall remain in full force and effect so long as you access or use the Services or maintain an account with Oneillite. Oneillite reserves the right, in its sole discretion and without prior notice or liability, to suspend, disable, restrict, or terminate your access to all or any portion of the Services, including your account, at any time and for any reason, including but not limited to your breach of these Terms, suspected fraudulent or illegal activity, non-payment of fees, or prolonged inactivity. Upon termination, all licenses and other rights granted to you under these Terms shall immediately cease.

You may terminate your account at any time by following the instructions available through the Services or by contacting us at [email protected]. Upon termination, you must immediately cease all use of the Services and destroy any copies of materials obtained from the Services in your possession or control. Termination shall not relieve you of any obligations that by their nature should survive termination, including but not limited to payment obligations, confidentiality obligations, indemnification, limitation of liability, dispute resolution, governing law, and intellectual property protections.

Oneillite shall not be liable to you or any third party for any termination of your access to the Services. In the event of termination for any reason, Oneillite may, in its sole discretion, delete or retain your User Content in accordance with our data retention policies and applicable law, as described in our Privacy Policy. You are solely responsible for backing up your data prior to termination. If your account is terminated due to a breach of these Terms, you shall not be entitled to any refund of prepaid fees.

11. Changes to Terms

Oneillite reserves the right, at its sole discretion, to modify, amend, or update these Terms at any time and for any reason, including to reflect changes in legal or regulatory requirements, industry standards, business practices, or the features and functionality of the Services. We will post the revised Terms on the Site at terms-and-conditions.php and update the "Last Updated" date at the top of the page. We may also notify you of material changes by email, through a prominent notice within the Services, or by other means reasonably designed to reach you.

Unless otherwise stated, any changes to these Terms shall be effective immediately upon posting. Your continued access to or use of the Services following the posting of revised Terms constitutes your binding acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and terminate your account. We encourage you to review these Terms periodically to stay informed of any updates.

For material changes that materially and adversely affect your rights or obligations under these Terms, we will use commercially reasonable efforts to provide at least thirty (30) days' advance notice before such changes take effect, except where immediate changes are necessary to comply with applicable law, protect the security or integrity of the Services, or prevent fraud or abuse. No waiver of any provision of these Terms shall be effective unless in writing signed by the party against whom the waiver is sought to be enforced.
